Service Terms

Effective November 2025 - R8

By using Seas of Green's services, you and your company (the "Client") agree to these Service Terms.

1. Service Rates

• Seas of Green charges for professional services based on the type and complexity of work required.
• Services are billed in time-based intervals.
• Different rates apply to tasks that require basic versus advanced skills and expertise.
• Our current rates are communicated to all clients, and are available on request.

2. Annual Rate Adjustments

• Rates are reviewed annually and adjusted in line with year-on-year U.S. inflation data.
• Updated rates take effect early each year and apply to all services rendered thereafter.
• Clients will be notified in advance of any changes.

3. Engagement Terms

• Seas of Green provides drafting and/or design services in line with the Client's defined scope of work.
• Seas of Green provides services exclusively to companies (B2B). We do not accept instructions or payments from third parties or our clients' clients.
• Estimates, when provided, are given in good faith but may vary from final fees due to revised instructions, changes in scope, or additional client requests.

4. Payment Terms

• No upfront payment is required for clients in good standing.
• Invoices are issued upon completion of services, or at agreed project milestones.
• Invoices are payable upon receipt.
• Payments are applied to the oldest outstanding invoices first.
• Work will not proceed for clients with overdue accounts.
• Urgent projects with deadlines within 48 hours (excluding weekends and holidays) incur a 25% acceleration fee.

Payments may be made by major debit/credit cards (processed via Stripe) or ACH/wire transfer (for U.S. banks or Wise Business accounts). Checks are not accepted. Any bank fees charged by the Client's bank are the Client's responsibility.

5. Client Responsibilities

For each project the Client must provide all necessary project information (site plan/survey, address, drawings from architects/engineers, photos, etc.) and a clear scope of work and instructions including style preferences, deliverables, and level of detail required.

6. Client Information Updates

The Client must notify Seas of Green in writing whenever there are changes to their company details, including company name or ownership, billing or physical address, or contact persons, contact details, email address changes, etc. Seas of Green will not be responsible for delays, missed communications, or billing issues arising from outdated client information.

7. Intellectual Property

• All designs and drawings remain the property of Seas of Green until full payment is received.
• Deliverables may include intellectual property belonging to Seas of Green or third parties. These elements may not be copied, reproduced, distributed, or reused beyond their intended purpose.
• Client-specific materials provided by the Client, or developed for them, are exempt from Seas of Green's copyright.
• Third-party materials remain subject to their own copyright protections.

8. Confidentiality

• All client data, information, designs, drawings, and project details are treated as strictly confidential.
• Seas of Green will never sell any client data or confidential information.
• Seas of Green only retains data and information necessary to meet legal or regulatory obligations, and to legitimately deliver our services.
• Where a project or client specifically requires it, Seas of Green will sign a non-disclosure agreement.

9. Marketing Use

Seas of Green may use redacted project materials for marketing purposes. Before use, all identifiable and sensitive information will be removed, including client names, company details and logos, project addresses, lot or parcel numbers, and any other information that could reasonably identify the client or project. Clients may opt out of Marketing Use at any time by notifying their Seas of Green contact by email.

10. Deliverables

• Deliverables are typically supplied in PDF and/or JPG format.
• AutoCAD drawings may be supplied in DWG format, Land F/X drawings in Land F/X DWG format, and VIP3D models in VIP3D format, in addition to PDF/JPG outputs, but only on special request.
• Editable files containing Seas of Green's proprietary symbols, blocks, or templates are not shared.

11. Relationship of Parties

• Seas of Green provides services as an independent contractor.
• Nothing in this agreement establishes a partnership, joint venture, or agency relationship between Seas of Green and the Client.

12. Updates to Terms

• Seas of Green reserves the right to adjust rates annually in line with U.S. inflation data or business needs. Clients will be notified in advance and may choose to discontinue services if they do not accept updated rates.
• Seas of Green reserves the right to update these Terms of Service at its discretion. Clients will be notified of any changes. If a Client does not agree to updated Terms of Service, they must notify their contact at Seas of Green.

13. Good Faith

Seas of Green and the Client agree to work together fairly and in good faith, acting with honesty, transparency, and professionalism, and to take all reasonable steps to carry out the intent and spirit of these Terms of Service.

Privacy & Data Use

This statement sets out how Seas of Green OÜ collects, uses, and safeguards information in the course of providing professional services. It applies to client contact details, project site information, and other business or project data shared with us in the context of our work. Our commitment is to process such information lawfully, fairly, and securely at all times, in line with applicable data protection principles, including the General Data Protection Regulation (GDPR).
